End-User License Agreement

CodingBand Command Center is proprietary internal software owned by CodingBand LLC. This agreement governs its use by authorized CodingBand personnel. It is not licensed to or available to any third party.

1. Parties

This End-User License Agreement (the “Agreement”) is entered into between CodingBand LLC (“CodingBand”, “we”, “us”) and the individual authorized employee or contractor of CodingBand who is granted access to the CodingBand Command Center software (the “Licensee”, “you”).

2. License grant

Subject to your continued employment or engagement with CodingBand and your compliance with this Agreement, CodingBand grants you a limited, non-exclusive, non-transferable, revocable license to install and use CodingBand Command Center (the “Software”) solely on devices authorized by CodingBand and solely for the internal business purposes of CodingBand.

3. Restrictions

You shall not, and shall not permit any third party to:

Distribute, sublicense, rent, lease, loan, sell, or otherwise transfer the Software or any portion of it to any third party.
Reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law.
Remove, modify, or obscure any copyright, trademark, or other proprietary notices.
Use the Software outside the scope of authorized CodingBand business.
Use the Software to access data of companies, customers, or services for which you have not been explicitly authorized by CodingBand.
Integrate the Software into any product or service offered to third parties.

4. Ownership

The Software is licensed, not sold. CodingBand retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than the limited license expressly stated in this Agreement.

5. Third-party services

The Software integrates with third-party services (including but not limited to Google Workspace, Atlassian Jira, and Intuit QuickBooks Online). Your use of those services is subject to the respective terms of those providers. CodingBand is not responsible for the availability, content, or operation of third-party services.

6. Data

The Software accesses data belonging to CodingBand in read-only mode for the purpose of internal reporting. You shall treat all such data as confidential. See the accompanying Privacy Policy for details on data handling.

7. Termination

This license terminates automatically and without notice upon (a) termination of your employment or engagement with CodingBand, (b) breach of any term of this Agreement, or (c) written notice from CodingBand. Upon termination, you shall cease all use and delete all copies of the Software in your possession.

8. Disclaimer of Warranties. The Software is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CodingBand does not warrant that the Software will be uninterrupted or error-free.

9. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall CodingBand be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with the Software or this Agreement, regardless of the theory of liability.

10. Governing law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which CodingBand LLC is incorporated, without regard to conflict-of-laws principles. Any dispute arising out of or related to this Agreement shall be resolved in the competent courts of that jurisdiction.

11. Entire agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and CodingBand with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
